NOTICE OF ANNUAL GENERAL MEETING

NOTICE is hereby given to Members that the 66th Annual General Meeting of Tuross Head Country Club Ltd will be held at:

Time: 10.00am (No admission after this time).

AGENDA

1. Apologies.
2. To confirm the Minutes of the Annual General Meeting held on 9 October 2022.
3. To receive the Directors Report and President’s Report for the year ended 30 June 2023.
4. To receive the Financial Statements and Auditor’s Report for the year ended 30 June 2023.
4. To receive the Strategic Review Committee Report for the year ended 30 June 2023.
5. To consider and, if thought fit, pass the Ordinary Resolution as set out in this notice, for which due
notice has been given to the Members.
6. The election of Directors for 2023/2025.
7. To appoint an auditor for financial year 2023/24.
8. General Business.

IMPORTANT NOTICE TO MEMBERS
The Financial Report, Directors Report and Auditor’s Report for the 2022/2023 Financial Year are available for perusal or download at www.clubtuross.com.au. from Monday 9th October 2023 Hard copies of the Reports are also available to Members from Reception from Monday 9th October 2023.

QUESTIONS REGARDING THE FINANCIAL STATEMENTS

Members wishing to ask questions regarding the Financial Statements at the Annual General Meeting are asked to convey those questions in writing to the General Manager by 5.00pm on Friday 20 October 2023.

ORDINARY RESOLUTION

That pursuant to the provisions of the Registered Clubs Act:

(A) The members hereby approve the following reasonable expenditure and benefits incurred by the Directors until the next Annual General Meeting:

i. The Annual Subscription of Directors to the Club Directors Institute.
ii. The reasonable costs of directors attending seminars, lectures and other educational activities as determined by the board from time to time.
iii. The reasonable costs (including travel and accommodation expenses) of Directors attending meetings, conferences and trade shows conducted by Clubs NSW, the Club Managers Association and other such conferences and trade shows as determined by the Board from time to time.
iv. The reimbursement of reasonable out of pocket expenses incurred by Directors in respect of their duties as directors of the Club approved by the Board on production of documentary evidence of such expenditure.

(B) The members acknowledge that the benefits in (A) above are not available to all members generally, but only for those who are Directors of the Club.

NOTES TO MEMBERS ON THE RESOLUTION

i. Ordinary Resolution One is to have members in general meeting approve expenditure by the Club to ensure that Directors of the Club have the opportunity to meet the Mandatory Director Training requirements in accordance with Legislation and Regulations which commenced July 1, 2013.
ii. Included in the Ordinary Resolution is the cost of Directors to attend seminars, lectures, trade displays and other similar events to be kept abreast of current trends and developments which may have a significant bearing on the Club, and for other out of pocket expenses.
iii. To be passed, the Ordinary Resolution must receive votes from the majority of those members who being eligible to vote, do so in person on the Ordinary Resolution at the Meeting.
iv. Only Life and financial Social members shall be eligible to vote on the Ordinary Resolutions.
v. Under the Registered Clubs Act, members who are employees are not entitled to vote, and proxy voting is prohibited.
vi. The Board of Directors recommends the Ordinary Resolution to the members.

CLUB PROPERTY
Pursuant to Section 41J(2) of the Registered Clubs Act, for the financial year ended 30 June 2023:

1. The Club’s property located at 40 Monash Avenue, Tuross Head, NSW (which includes the Club’s premises, Bowls Greens and car park) is the Club’s core property.
2. The Club does not have any non-core property.

The significance of the distinction between core property and non-core property is that (unless one of the exemptions contained in the Registered Clubs Act applies) the Club cannot dispose of any core property unless:

1. The property has been valued by a registered valuer within the meaning of the Valuers Act 2003; and
2. The disposal has been approved at a general meeting of the ordinary members of the Club at which the majority of the votes cast support the approval; and
3. Any sale is by way of public auction or open tender conducted by an independent real estate agent or auctioneer.
